TERMS OF TRADE - GLENKRAG LIMITED


HOURS OF BUSINESS: MONDAY - FRIDAY 8.00am TO 4.30pm

Application of Conditions: Definitions are itemised as "the company" meaning Glenkrag Ltd. "the purchaser" meaning the person, firm or company entering into the contract with the company. Goods and services "goods" are supplied subject to these conditions alone. By ordering goods from the seller, the buyer will be deemed to have accepted that these conditions take precedence over all other either submitted by the buyer or implied by trade custom, practise or course of dealing unless expressly agreed to in writing by the seller and signed by the company.

Orders: Main orders and additions to existing orders cannot be guaranteed delivery if accepted after 12.00 noon of the day prior to despatch. The minimum order for free delivery within our scheduled routing is £250.00 Sterling. / €300 Euro excluding VAT, a charge of £20.00 MAY be imposed for orders with a value less than £250.00 / €300 Orders despatched outside our normal delivery routes will be charged carriage at cost. Delivery to UK mainland via courier, Minimum orders shall be £350 ex VAT + carriage.

Prices: The seller shall make every effort to maintain prices quoted but reserves the right to amend these prices without prior notice. Goods will be invoiced at prices ruling at a date of despatch and unless otherwise stated are exclusive of vat, the purchaser will pay VAT upon the goods at the rate in force at the date of the invoice.

Deliveries: All goods ordered will be delivered to the purchaser's address as provided by the purchaser. All dates quoted for despatch or ultimate delivery by the seller are as estimates only and are not to be the essence of the contract. Therefore, the seller shall not be liable for the consequences of any delay in fulfilling the buyers order howsoever caused. The buyer shall never less be bound to accept the goods ordered when available. The company reserves the right to make a delivery of the goods by instalments and to render a separate invoice for each.

Payments: Payment in full is due in respect of goods supplied without deduction or set off. All sums become due and payable BEFORE the delivery of the goods unless otherwise agreed in writing by the company. Payments may be made by Cash, Cheque, Credit card or Debit card and BACS transfer. Award of a credit account is entirely at the discretion of the company whose decision is final. When stated in writing by the company credit accounts are due 30 days after invoice date. The company reserves the right to charge interest at 8% per month on all overdue accounts whether credit or otherwise. Where payments are not received and where it is necessary for such debts to be placed in the hands of an external third party for collection or other Legal process, then the company reserves the right to call for charges incurred in this process, to be paid in addition to any or all sums due at that time.

Returned Cheques: Cheques returned by our Bank "Refer to Drawer", will not be re-presented and will be subject to an administration charge of £20 Stg Further orders will not be delivered until the value of the cheque and charges have been met. If facts come to our knowledge which in the light of consideration, give rise to justified doubts regarding the customers solvency, we shall be entitled to make at once payable, all claims arising from our business relations, including those for which the term of payment has been extended.

Reservation of Title: Title to all goods supplied shall not pass to the buyer until all sums due on your account have been paid. In respect thereof and until title shall pass you have the goods in your possession and at your risk solely as bailee for us. Such bailment shall be deemed to terminate forthwith if you, being an individual, commit an Act of Bankruptcy or being a company, enter into liquidation, or have a Winding-Up Petition presented against you, or a Receiver appointed, or in either case allow distress or execution to be levied against your property, whereupon we shall be entitled to enter onto any premises to resume immediate possession of the goods. All our goods must be stored separately and any sale proceeds held in a separate bank account. If you dispose of the goods before title shall pass, you shall be deemed to do so as an agent for us and shall hold the proceeds of sale in trust for us as our fiduciary.

Claims: The Company shall be under no liability for any defects or shortages if a complaint by telephone is not made to our Carrickfergus office, 02893351491 Ext (240) within 48 hours, and confirmed in writing, Email within 7 days of acceptance. In all cases where defects or shortages are complained of, the company shall be under no liability in respect of the same unless an opportunity to inspect the goods supplied to the purchaser before any use is made of the goods or any alteration or modification is made by the purchaser. Subject to the above the company shall make good any shortages and where appropriate replace any goods damaged in transit as soon as it is reasonable to do so, In the case of glass items these should be checked upon delivery for damage as no liability is accepted once the delivery driver has left. Any damages should be returned with the driver immediately.

Returns: Should for any reason whatsoever the buyer wishes to return any goods to the seller the buyer must indicate to the sales staff items to be collected with details of discrepancies, quantities, number of items with reasons quoted for requested returns. The seller shall issue collection instructions. All goods should be adequately packed. Every effort will be made to issue a replacement item where necessary or a credit when replacements cannot be made. At no time shall the buyer return any goods whatsoever without the seller's prior knowledge and agreement. All goods returned faulty which require a replacement or a credit are sent back to the relevant manufacturer for the seller to claim a replacement or credit. If for any reason the seller is unable to obtain such the seller has the absolute right to return the faulty good to the buyer and charge the buyer for the goods in question. Goods that are returned by the buyer which are not subject to warranty claims and are not deemed faulty may be subject to a restocking charge of 15%. The seller's decision is final and absolute.

Delivery of Livestock: "Livestock" which encompasses all live food and fish species are deemed to be in a resalable condition upon despatch. Livestock must be inspected upon delivery and is either accepted or rejected. Once accepted, livestock is deemed acceptable for resale. Under no circumstances, can credit or replacements be made once the goods have been fully accepted and the driver has left the premises. In all other cases Dead On Arrivals MUST be reported within 24 hours of delivery either by Telephone, Fax Email or in writing with a postmark dated within the 24-hour period. (Fish House Help Line No. 028 93359507) Due to the nature of the live pet and fish foods being of a seasonal nature, numbers amounts, and weights of the goods are only issued as a guide. Actual weights and numbers hence may vary from stated weights and numbers, depending upon market conditions. The company reserves the right to alter prices, weights and measures as they see fit on a daily basis for live fish and pet foods.

Glenkrag Ltd: Reserve the right to close or suspend any account or withhold delivery if:
1. The customer fails to pay any sum due in accordance with the terms of trading.
2. The customer goes into liquidation or has a receiver appointed or commits any act of insolvency.
3. Glenkrag Ltd. has any reason to doubt the credit worthiness of the customer.
4. The customer no longer meets the necessary Trade requirements or the level of business is no longer deemed viable.

We reserve the right to change these terms and conditions at any time, and you agree to abide by the most recent version of these each time you view and use the Website.
